Core Idea

State capture is the process by which private interests systematically redirect public institutions to serve their own ends — not through occasional lobbying but through structural control of decision-making. It goes beyond regulatory capture: where regulatory capture corrupts a single agency, state capture corrupts the entire governance system. The mechanism is predictable: private actors place loyalists in key positions, redirect public resources, rewrite rules to eliminate competition, and use institutional legitimacy to shield their actions. In business, the pattern appears whenever a single faction — a dominant investor, a founding family, a political ally — gains enough control over a company's governance to redirect it from its stated mission toward private enrichment. The board exists but doesn't govern. The rules exist but aren't enforced. The institution's purpose is hollowed out from within.

Corporate Governance
You're seeing it when a company's board is stacked with personal allies of the controlling shareholder, independent oversight exists on paper but not in practice, and dissenting voices are systematically removed or sidelined.

How to Use It

Use state capture as a diagnostic for governance health. In any institution — company, nonprofit, government body — ask: do the people making decisions bear the consequences of those decisions? Is oversight genuinely independent or structurally captured? When you see the gap between stated purpose and actual behavior widening, look for who benefits from the gap. That's where capture lives.

Build governance structures that resist capture from the start. In a region where post-colonial governments were routinely captured by oligarchs, military factions, or family dynasties, Lee designed institutions with structural anti-corruption mechanisms: high civil servant salaries to reduce bribery incentives, an independent judiciary, and a Corrupt Practices Investigation Bureau with broad investigative powers. He understood that preventing capture required more than good intentions — it required structural incentives that made corruption expensive and detection likely. The result was one of the world's least corrupt governance systems. For founders, Lee's lesson is that institutional integrity isn't maintained by culture alone — it requires designed incentive structures that make capture unprofitable.
